Terms of Service (English)

1. Acceptance of Terms

By accessing or using the Cuadro platform and services (“Services”), operated by Cuadro Technologies, Inc. (“Cuadro,” “we,” “us,” or “our”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use our Services.

2. Description of Services

Cuadro provides a bilingual (Spanish and English) accounting and financial management platform designed for Hispanic small businesses in the United States and their accountants. Our Services include invoicing, expense tracking, receipt scanning, bank account connection, financial reporting, and related features.

3. Account Registration

You must create an account to use our Services. You agree to provide accurate and complete information during registration and to keep your account information updated. You are responsible for maintaining the security of your account credentials.

4. Subscription Plans and Billing

Cuadro offers free and paid subscription plans. Paid plans are billed monthly through Stripe. By subscribing to a paid plan, you authorize us to charge the applicable fees to your payment method. Subscription fees are non-refundable except as required by law or as stated in our 30-day guarantee.

We reserve the right to modify pricing with 30 days' notice. Founding member pricing is locked in for the duration of the subscription.

5. Not Tax or Legal Advice

IMPORTANT: Cuadro is a financial management tool. We do NOT provide tax advice, legal advice, or accounting services. The reports and calculations generated by Cuadro are tools to assist you and your accountant. Always consult with a qualified tax professional before making tax decisions. Cuadro is not responsible for errors in tax filings or financial decisions made based on information from our platform.

6. User Responsibilities

You agree to:

Use the Services only for lawful purposes
Provide accurate financial information
Not share your account with unauthorized users
Comply with all applicable laws and regulations
Keep your business and financial data up to date

7. Multi-Tenant Usage (Accountants)

If you are an accountant using Cuadro to manage client accounts, you represent that you have the authority to access and manage your clients' financial information. You are responsible for obtaining appropriate consent from your clients.

8. Data Ownership

You retain ownership of all financial data, documents, and content you upload to Cuadro. We do not claim ownership of your data. We only use your data to provide and improve our Services as described in our Privacy Policy.

9. Service Availability

We strive to maintain high availability of our Services but do not guarantee uninterrupted access. We may perform maintenance that temporarily affects availability. We are not liable for any losses resulting from service interruptions.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CUADRO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Termination

You may terminate your account at any time. We may suspend or terminate your access if you violate these Terms. Upon termination, you may request export of your data within 30 days.

12. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law provisions.

Terminos de Servicio (Espanol)

1. Aceptacion de los terminos

Al acceder o usar la plataforma y servicios de Cuadro (“Servicios”), operados por Cuadro Technologies, Inc. (“Cuadro,” “nosotros” o “nuestro”), aceptas quedar obligado por estos Terminos de Servicio (“Terminos”). Si no estas de acuerdo con estos Terminos, no uses nuestros Servicios.

2. Descripcion de los servicios

Cuadro proporciona una plataforma bilingue (espanol e ingles) de contabilidad y gestion financiera disenada para pequenos negocios hispanos en los Estados Unidos y sus contadores. Nuestros Servicios incluyen facturacion, registro de gastos, escaneo de recibos, conexion de cuentas bancarias, reportes financieros y funciones relacionadas.

3. Registro de cuenta

Debes crear una cuenta para usar nuestros Servicios. Aceptas proporcionar informacion precisa y completa durante el registro y mantener tu informacion de cuenta actualizada. Eres responsable de mantener la seguridad de las credenciales de tu cuenta.

4. Planes de suscripcion y facturacion

Cuadro ofrece planes de suscripcion gratuitos y de pago. Los planes de pago se facturan mensualmente a traves de Stripe. Al suscribirte a un plan de pago, nos autorizas a cobrar las tarifas aplicables a tu metodo de pago. Las tarifas de suscripcion no son reembolsables excepto segun lo requiera la ley o segun se establezca en nuestra garantia de 30 dias.

Nos reservamos el derecho de modificar los precios con 30 dias de aviso. El precio de miembro fundador se congela durante la duracion de la suscripcion.

5. No es asesoria fiscal ni legal

IMPORTANTE: Cuadro es una herramienta de gestion financiera. NO proporcionamos asesoria fiscal, asesoria legal ni servicios de contabilidad. Los reportes y calculos generados por Cuadro son herramientas para asistirte a ti y a tu contador. Siempre consulta con un profesional fiscal calificado antes de tomar decisiones fiscales. Cuadro no es responsable de errores en declaraciones fiscales o decisiones financieras tomadas basandose en informacion de nuestra plataforma.

6. Responsabilidades del usuario

Aceptas:

Usar los Servicios solo para fines legales
Proporcionar informacion financiera precisa
No compartir tu cuenta con usuarios no autorizados
Cumplir con todas las leyes y regulaciones aplicables
Mantener tus datos comerciales y financieros actualizados

7. Uso multi-inquilino (contadores)

Si eres un contador que usa Cuadro para gestionar cuentas de clientes, declaras que tienes la autoridad para acceder y gestionar la informacion financiera de tus clientes. Eres responsable de obtener el consentimiento apropiado de tus clientes.

8. Propiedad de datos

Tu conservas la propiedad de todos los datos financieros, documentos y contenido que subas a Cuadro. No reclamamos propiedad sobre tus datos. Solo usamos tus datos para proporcionar y mejorar nuestros Servicios como se describe en nuestra Politica de Privacidad.

9. Disponibilidad del servicio

Nos esforzamos por mantener alta disponibilidad de nuestros Servicios pero no garantizamos acceso ininterrumpido. Podemos realizar mantenimiento que afecte temporalmente la disponibilidad. No somos responsables de perdidas resultantes de interrupciones del servicio.

10. Limitacion de responsabilidad

EN LA MAXIMA MEDIDA PERMITIDA POR LA LEY, CUADRO NO SERA RESPONSABLE DE NINGUN DANO INDIRECTO, INCIDENTAL, ESPECIAL, CONSECUENTE O PUNITIVO DERIVADO DE TU USO DE LOS SERVICIOS. NUESTRA RESPONSABILIDAD TOTAL NO EXCEDERA LA CANTIDAD QUE NOS HAYAS PAGADO EN LOS DOCE (12) MESES ANTERIORES A LA RECLAMACION.

11. Terminacion

Puedes terminar tu cuenta en cualquier momento. Podemos suspender o terminar tu acceso si violas estos Terminos. Al terminar, puedes solicitar la exportacion de tus datos dentro de 30 dias.

12. Ley aplicable

Estos Terminos se rigen por las leyes del Estado de Delaware, Estados Unidos, sin tener en cuenta las disposiciones sobre conflictos de leyes.
